These Terms & Conditions (“Terms”) govern your use of our website and any services you purchase or engage us for, including digital marketing, website creation, graphic design, video editing, and our Brand Launch Package. By using our website or engaging our services, you agree to these Terms.
1. About Us
Vertex Digital is a fully virtual digital agency offering digital marketing, web design and development, graphic design, video editing, and complete brand launch services. We do not operate a physical office; all communication and service delivery take place online.
2. Services
The specific scope, deliverables, and timeline for any project will be agreed upon with the client before work begins, whether through email, WhatsApp, a proposal, or a written agreement. Any changes to the agreed scope may affect the timeline and cost, and will be discussed with the client before being implemented.
3. Payments
Payment terms vary by project and will be communicated and agreed upon before work begins. Depending on the nature of the project, this may include full upfront payment, a split payment (deposit plus final payment), or milestone-based payments.
Work will not begin, and will not proceed to the next stage, until the agreed payment for that stage has been received.
4. Refund Policy
Once work on a project has started, payments made are non-refundable. We encourage clients to review the agreed scope, deliverables, and expectations carefully before making payment and starting a project.
If there is a concern about the quality or direction of the work, we ask that clients raise it with us directly so we can address it, rather than requesting a refund.
5. Ownership & Intellectual Property
Once a project is fully paid for, full rights to the final deliverables (such as designs, website files, videos, and other agreed assets) transfer to the client.
Until full payment is received, all work produced — including drafts, concepts, and unfinished deliverables — remains the property of Vertex Digital and may not be used, published, or distributed by the client.
Vertex Digital reserves the right to showcase completed work in its own portfolio, website, or marketing materials, unless the client requests otherwise in writing.
6. Client Responsibilities
To deliver work on time and to the expected standard, we rely on clients to:
- Provide necessary information, materials, and feedback in a timely manner
- Respond to review requests and approval stages promptly
- Ensure any content, images, or materials they provide do not infringe on third-party rights
Delays caused by a lack of client input or feedback may affect project timelines and are not the responsibility of Vertex Digital.
7. Communication
As a fully virtual agency, all communication takes place via email, WhatsApp, or other agreed digital channels. Clients are expected to maintain reasonably prompt communication throughout a project to avoid delays.
8. Limitation of Liability
While we take care to deliver quality work and sound strategy, Vertex Digital does not guarantee specific business outcomes (such as sales figures, ad performance, or search rankings), as these depend on many factors outside our control, including market conditions and client-side execution.
Vertex Digital is not liable for indirect, incidental, or consequential damages arising from the use of our services or website.
9. Third-Party Platforms
Some services (such as advertising, hosting, or e-commerce) rely on third-party platforms (e.g., Meta, Google, WordPress, Shopify). Vertex Digital is not responsible for outages, policy changes, or account issues caused directly by these third-party platforms.
10. Changes to These Terms
We may update these Terms from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the updated Terms.
